In the scenario where legal frameworks mature, product liability and high-risk AI legislation allocate responsibility: developers for model safety and transparency, providers for stating operating conditions, deploying companies for appropriate supervision and records, and supervisors for checks within their authority, with insurance markets developing alongside. In the scenario where frameworks lag, existing contract and tort law are applied by analogy and responsibility is settled after the fact in litigation, so the presence of records and contract terms heavily influences outcomes. Common to both is that the deploying company will most likely bear ultimate external responsibility. Deploying companies should therefore: define in writing and technically enforce the agent's authority (spending limits, transaction types, counterparties); record decision histories and rationale so they are auditable; specify responsibility allocation and indemnification in vendor contracts; and predefine procedures for halting, notifying, and compensating when harm occurs. Supervisors protect themselves and the organization by understanding the scope of authority and their duty to check, and by reporting anomalies.
The more autonomous AI agents become, the wider the gap between the framework in which the tool user bears responsibility and the framework in which the manufacturer bears responsibility for defects. The EU AI Act imposes obligations on providers and deployers of high-risk AI systems, and the EU's revised Product Liability Directive brings software within the definition of a product, so legal systems are moving toward clarity, but national differences are large and case law on autonomous agent conduct remains sparse. Legally, the doctrine of vicarious liability, under which employers answer for employees' acts, may be applied to agents by analogy. In every scenario, the four preparations of authority limits, records, contracts, and procedures serve both as evidence of having discharged responsibility and as mechanisms for limiting harm. Proceeding with deployment while responsibility remains vague produces the largest losses in the pessimistic scenario.
Tighter authority limits reduce the agent's usefulness, creating a trade-off between speed and safety. In negotiating responsibility allocation with vendors, small firms have weak bargaining power and may have to accept one-sided disclaimers. Even with a duty to check, humans cannot substantively supervise vast numbers of decisions, and responsibility risks being dumped on the front line.
Rather than uniformly narrowing authority, tier it by transaction value and counterparty risk, letting low-risk transactions run autonomously while high-risk ones require human approval. In contract negotiations, use standard clauses drafted by industry associations and insurance products covering AI liability to offset weaker bargaining power. Keep supervisors' burden realistic through automated anomaly detection and internal rules that limit the duty to check to matters they can reasonably verify.
